SEBI notifies Securities and Exchange Board of India (Payment of Fees) (Amendment) Regulations, 2020 [Read Notification]

The Security and Exchange Board of India (SEBI) issued a notification to amend the Securities and Exchange Board of India (Stock Brokers) Regulations, 1992, Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018. The amendment came to be known as the Securities and Exchange Board of India (Payment of Fees) (Amendment) Regulations, 2020 and will be effective from June 1, 2020.

In the Securities and Exchange Board of India (Stock Brokers) Regulations, 1992, in Schedule V, in Part B, in clause 3, after sub-clause (1), the “Every stockbroker in cash segment, equity derivatives segment, currency derivatives segment, interest rate derivatives segment and commodity derivatives segment (other than Agri commodity derivative) liable to pay fees as a percentage of their turnover as specified at sub-clause 1 shall, for the period June 01, 2020, to March 31, 2021, pay only 50% (fifty percent) of fees as calculated therein, including for off-market transactions undertaken by them” shall be inserted.

In the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, in case size of the issue, including intended retention of oversubscription of less than or equal to ten crore rupees, the rate of fee of Rs. 50,000/-  and rate of fees of Rs. 25,000/- for filing within one year after the expiry of the SEBI Observation letter will be applicable.

In case of the size of the issue, including intended retention of oversubscription of more than ten crore rupees, but less than or equal to five thousand crore rupees, the rate of 0.05% of the issue size and the Rate of fees 0.025% of the issue size for filing within one year after the expiry of SEBI Observation letter will be applicable.

In case of the size of the issue, including intended retention of oversubscription of More than five thousand crore rupees, the rate of two crore fifty lakh rupees plus 0.0125% of the portion of the issue size in excess of five thousand crore rupees and rate of one crore twenty-five lakh rupees plus 0.00625% of the portion of the issue size in excess of five thousand crore rupees fees for filing within one year after the expiry of SEBI Observation letter.

In the Amendments to Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018, if the office size is less than or equal to rupees ten crores the fee of Rs. 2,50,000 will be applicable; if the offered size is more than rupees ten crores but less than or equal to rupees one thousand crores then 0.25 percent of the offered size will be applicable as a fee and if the offered size is more than rupees one thousand crores then 50,00,000/- plus 0.0625 percent of the portion of offer size in excess of rupees one thousand crores will be applicable as a fee.

The Securities and Exchange Board of India (Payment of Fees) (Amendment) Regulations, 2020 will be effective from June 1, 2020.
