The Securities and Exchange Board of India ( SEBI ) issued a circular on September 13, 2024, revising the reporting format for Foreign Venture Capital Investors ( FVCIs ) under Regulation 13(1) of the SEBI ( Foreign Venture Capital Investors ) Regulations, 2000. This updated reporting format is designed for the quarterly reporting requirements for FVCIs.
FVCIs are required to submit quarterly reports detailing their venture capital activities. This is mandatory regardless of whether any investment was made during the quarter.
The new reporting format, provided as Annexure-1 of the circular, must be followed by all FVCIs when submitting their quarterly reports. This format includes detailed sections on general information about the FVCI, cumulative fund investments, investment details by industry, and other relevant information.

For the quarters ending September 30 and December 31, 2024: Reports should be submitted via email in an Excel format to SEBI by November 15, 2024, and January 15, 2025, respectively.
From the quarter ending March 31, 2025, onwards: FVCIs will submit their quarterly reports through the SEBI Intermediary Portal (SI Portal) within 15 calendar days from the end of each quarter.
In line with Regulation 14(2) of the FVCI Regulations, custodians will be responsible for ensuring the timely submission of these reports.

The circular is issued under the powers conferred by Section 11(1) and Section 11A of the SEBI Act, 1992, to protect investors’ interests and regulate the securities market.

Compliance Deadlines:
November 15, 2024 for Q2 2024.
January 15, 2025 for Q3 2024.
15 days after quarter-end for March 2025 and subsequent quarters.
