The Ministry of Corporate Affairs (MCA) has issued a reminder to all involved parties to make sure they file Form No. PAS-6 promptly for the half-year period ending on 31st March 2025. The form shall be certified by  a Chartered Accountant ( CA ) or a Company Secretary ( CS ).

This filing is important to firms that have distributed shares in dematerialized form since it facilitates reconciliation of share capital data against depository records and assures compliance with rules and regulations.

The last date for filing Form PAS-6 is 30th May 2025, and companies are urged to avoid last-minute delays to prevent penalties or compliance issues.

How to File Form PAS-6 in MCA Portal

  1. Visit the MCA Portal: Go to http://mca.gov.in using your web browser.
  2. Log In: Log in using your MCA V3 Business User credentials
  3. Access e-Filing: Once logged in, navigate to: MCA Services >  Company e-Filing
  4. Go to Compliance Services: Under Company e-Filing, select Compliance Services
  5. Select PAS-6 : Click on PAS-6 - Reconciliation of Share Capital Audit Report.
  6. Complete and Submit: Fill in the required details in the form carefully, upload any necessary attachments, and submit before the 30th May 2025 deadline.

What is PAS 6

Form PAS-6 is a bi-annual report mandated for unlisted public companies, reporting changes and status of share capital. The form has to be filed with the Registrar of Companies (ROC) and should be certified by a practicing Company Secretary (CS) or Chartered Accountant (CA).

It is required to be filed by all unlisted public companies that have issued shares under Rule 9A of the Companies (Prospectus and Allotment of Securities) Third Amendment Rules, 2019.

However, some categories of unlisted public companies are exempted from filing Form PAS-6 including Nidhi companies, Government companies, and wholly owned subsidiaries, which are exempt from filing this form under the rules prescribed. Companies not covered under these exempted categories have to ensure on-time filing to escape non-compliance.

The PAS 6 Form includes Company details, Filing details which includes details of share per class, details of shares held by, details of demat requests, Details of changes in share capital during the half-year under consideration..etc.
