The Ministry of Corporate Affairs (MCA), Government of India, has announced an extension for directors to complete their annual Know Your Customer (KYC) compliance. Through General Circular No. 05/2025, dated October 15, 2025, the MCA has allowed the filing of e-form DIR-3 KYC and web-form DIR-3 KYC-WEB without any late fees up to October 31, 2025.
This move provides much-needed relief to thousands of company directors and designated partners who were unable to meet the earlier deadline of September 30, 2025. The Ministry’s decision follows numerous representations from stakeholders requesting additional time to complete the process due to delays and technical issues on the MCA21 portal.
The circular was issued from the MCA’s office at Shastri Bhawan, New Delhi, was addressed to the Director General of Corporate Affairs, all Regional Directors, and Registrars of Companies. The communication stated that the relaxation is granted “with the approval of the Competent Authority” and is intended to ensure smooth compliance across the corporate sector.
The DIR-3 KYC filing is a mandatory annual compliance for every individual holding a Director Identification Number (DIN). It requires directors to verify their personal details, including mobile number, email ID, and address, to keep their DIN status active. Those who have already completed the KYC process in earlier years can file the DIR-3 KYC-WEB form, a simplified online version.

Failure to file the KYC form by the deadline leads to automatic deactivation of the DIN and a penalty of Rs. 5,000 for reactivation. With this extension, directors now have an additional two weeks to comply without facing penalties.
