Many companies and professionals have recently faced difficulties while filing Form MGT 15 on the Ministry of Corporate Affairs (MCA) portal. A common error message appearing on the screen reads: “Digital Signature Verification failed. Please affix a valid DSC.”
To help stakeholders resolve this issue, the MCA has issued a clarification explaining how to properly use the Digital Signature Certificate, also known as DSC, when uploading the signed PDF of the form.
The MCA has advised that before uploading the form, all mandatory digital signatures must be affixed. The number and type of signatures required depend on the selection made in field number 3 (vi) of the form, which asks whether a Chairman of the meeting has been appointed.
- If the answer is Yes: In this case, only the Chairman of the meeting and the Company Secretary need to sign the form using their DSC.
- If the answer is No: Then the form requires the signatures of the Directors along with the Company Secretary. The system will enable the relevant fields for affixing their DSCs.
Apart from this, the MCA has also reminded stakeholders to confirm that the DSC being used is valid, registered with the MCA portal, and enabled in the PDF. Invalid or expired digital signatures will lead to verification failure and prevent the form from being accepted.
Form MGT 15 is an important compliance document that companies are required to file in relation to general meetings. Any error during submission can lead to delays in compliance, which may further cause unnecessary stress and possible penalties.
