The introduction of the MCA21 portal in 2006 by the Ministry of Corporate Affairs (MCA) is to simplify and streamline access to its services. Designed for professionals, companies, and the public , the portal offers a secure and user-friendly platform for handling various compliance and legal requirements.

The MCA is all set to launch a revamped version of Form ADT-1 under the MCA21 V3 portal, which will be effective from July 14,2025.The shift from V2 to V3 system ,Form ADT-1 is getting a much smarter upgrade ie., from a offline,PDF based format to a smarter hassle free web based version.Lets breakdown to check the changes .

What is ADT-1?

Form ADT-1 is used by a company to inform the Registrar of Companies(RoC) about the appointment or reappointment of its auditor, which is mandatory according to Section 139(1) of the Companies Act,2013. This form must be filed within 15 days from the conclusion of Annual General meeting( AGM) in which the appointment or reappointment is made.

Differences In V2 Portal Vs. V3 Portal

1.From PDF to Web based

In V2 portal companies had to download a PDF version of Form ADT-1, fill it online, attach the Digital Signature Certificate (DSC) and then upload the signed file to the MCA portal which often involved multiple steps,software issues and formatting challenges.

In the V3 portal the process is much more simple. This is completely web based, where the details can be entered directly on the portal, if needed save the form midway and submit when it's complete. There is no need to download or upload any PDF or attach a DSC manually where the digital authentication will be handled through the OTP based verification linked to email.

2.More Disclosure of Details

In the V2 portal the companies had to provide only the basic information about the auditor such as name, PAN and address.

In the V3 portal along with the basic information the companies must provide information about the audit firm’s individual members,need to mention the SRN of Form INC-28, wherever applicable, especially in cases involving tribunal orders. If an audit committee has been constituted, any remarks or observation from the committee must be included. A new declaration by the company regarding the auditor’s appointment has been made mandatory, in line with a rule notified on May 30, 2025.

3.Auditors Term

In the V2 portal the system did not check whether the auditor’s term matched with the financial year mentioned in the filing.

In V3 portal if the auditors term entered did not match with the financial year entered the system will automatically reject the form.

4.Insolvency and Liquidation

Under the V2 portal Filing of form ADT-1 was limited to only the statutory auditors while under the V3 portal the Interim Resolution Professionals (IRPs), Resolution Professionals (RPs), or Liquidators can also file directly.

5. File Size

Under the V2 portal the size of each file was restricted to 2MB.Accordingly under the V3 portal it allows a total file size of up to 10 MB which enables smoother documentation.

6. One Time Password( OTP )

In the V2 portal , it relies on User ID and password login to upload the PDF form. While in V3 portal email and mobile based OTP authentication is introduced.

7.Forms Linked

Under V2 portal the ADT-1 form alone was filed whereas under the V3 portal it is integrated with other key filings like AOC-4 and Auditor’s Report.The system will cross check the validation of SRNs (Service Request Numbers) of these related forms.

8.Deadline Details

The MCA had laid down the following deadlines which will help the users to smoothly switch from V2 to V3.

Company E-filings under the V2 portal will be disabled from June 18th 2025 12:00 AM

Offline payments under the V2 portal will be stopped from June 8th,2025 12:00 AM

The last date to update Investor/subsidiary details :June 17, 2025.

V3 portal will not be available from July 9th ,2025 to July 13th,2025 and will be on live from 14th July,2025.

Documents Required

The documents required while filing are:

  • Copy of the Board Resolution or AGM Resolution appointing the auditor
  • Auditor’s consent letter along with eligibility certificate
  • Copy of the letter sent to the auditor informing them about the appointment.
