MCA Big Relief: No Late Fees for FY 2024-25 Annual Filings, Know the Last Date [Read Circular]
MCA has given relief to companies by allowing FY 2024–25 annual filings to be done till 31 January 2026 without paying any late fees.

In a big relief for companies, the Ministry of Corporate Affairs (MCA) has given extra time to file annual returns and financial statements without any late fees.
This relaxation is for filings related to the financial year 2024-25. As per a circular issued by MCA on 30 December 2025, companies can now finish their pending annual filings up to 31 January 2026 without paying extra fees, which usually get very high after the due dates.
The decision came after MCA got many requests from stakeholders like companies and professionals, who asked for more time because of heavy compliance work and practical problems.
MCA said the higher authorities have approved this extension after looking at these requests. The relief covers important MCA forms such as MGT-7, MGT-7A, AOC-4, AOC-4 CFS, AOC-4 (XBRL), and also special forms for NBFCs under Ind AS.
Normally, late filing of these forms means daily extra fees, but with this relaxation, no additional fee will be charged until the new date. This circular follows the earlier General Circular No. 06/2025 dated 17 October 2025, and MCA has made it clear that all other rules from that circular stay the same. Only the deadline and fee waiver are changed.
This step will help many firms, especially small and medium ones, that could not finish on time. But they suggest not waiting until the last day and doing the filings early to avoid any technical glitches on the MCA website. With this extension, companies have until 31 January 2026 to complete their FY 2024-25 annual duties without fear of late fee penalties.
