The Ministry of Corporate Affairs has issued a clarification to help companies and professionals understand how resubmissions work under the SPICe Plus system. MCA clarified that resubmissions work under SPICe+ operate in two stages:

  • Part A - Name Reservation,
  • Part B - Incorporation.

These can be filed together or separately, and the resubmission rules differ accordingly.

1. When Part A & Part B are filed together

If resubmission is required only for Part A:

  • Part B and all linked forms (INC‑9, e‑MOA, e‑AOA, AGILE PRO‑S) get delinked.
  • When you resubmit the pre‑filled Part B, all linked forms regenerate, and you must submit them again.

2. When Part B is filed separately

  • If resubmission is required for Part B, the linked forms regenerate upon resubmission.

3. When remarks relate only to a linked form

  • You only need to edit and resubmit that specific linked form, not the entire SPICe+ set.

This clarification will help stakeholders understand why forms sometimes get separated or regenerated during resubmission. Many applicants were unsure about the process which often led to delays. The ministry’s explanation will help users plan their filings better and avoid unnecessary complications.
