MCA Replaces Form RD-1 (Application to Regional Director) under Companies (Incorporation) Rules
MCA has replaced Form RD-1 for applications to the Regional Director with a revised, compliance-focused version effective 15th September 2025.

The Ministry of Corporate Affairs (MCA) issued Notification G.S.R. 579(E) dated 26th August 2025, introducing Companies (Incorporation) Second Amendment Rules, 2025. These amended rules will come into effect from 15th September 2025. The amendment introduces a revised Form RD-1, replacing the earlier version under the Companies (Incorporation) Rules, 2014.
Form RD-1 is the prescribed form used by companies to file applications with the Regional Director (RD) of MCA. Such applications typically cover matters like rectification of name, conversion of a public company into a private company, change of financial year, or approval of schemes filed in Form CAA-11.
What Has Changed?
The old RD-1 (2014 version) was relatively short and simple, seeking only basic company details, purpose of application, resolutions passed, and attachments like board resolution, list of creditors, and declarations.
The new RD-1 (2025 version) is far more detailed and compliance-oriented. Major changes include:
- Expanded company details – Apart from CIN and name, the new form requires full address, police jurisdiction, mobile number, and email ID.
- Broader scope of application – In addition to rectification, conversion, and change of financial year, it now includes schemes under Form CAA-11 (mergers/demergers).
- Greater granularity – Companies must now specify resolution details, number of votes in favor/against, and new financial year dates where applicable.
- Creditor & debenture holder details – Earlier required as an attachment, now a tabular disclosure within the form itself, capturing names, addresses, amounts due, and liabilities.
- More structured attachments – Advertisement details under Rule 41, certified scheme approvals, and specific supporting documents are now compulsory.
- Stricter declarations – The declaration section is expanded, with multiple compliance confirmations and explicit references to Section 448 & 449 of the Companies Act, 2013, which impose punishment for false statements and evidence.
Effective Date
From 15th September 2025, companies must mandatorily use the new Form RD-1 for all applications to the Regional Director. The old format will no longer be valid.
