NFRA-2 Annual Return Filing Due in November 2025: Auditors Reminded to Ensure Timely Compliance

NFRA-2 applies to auditors of specified classes of entities. The filing obligations have been mandated as per Rule 5 read with Rule 3 of the NFRA Rules, 2018.

The National Financial Reporting Authority (NFRA) has issued an advisory reminding auditors of the mandatory NFRA-2 annual return and the deadline of November 30, 2025 to file the same.

The NFRA-2 return covers the reporting period from April 1, 2024 to March 31, 2025 and requires disclosure of audit reports that have been signed during that interval. In most cases those audit reports will relate to financial statements for the financial year that ended on March 31, 2024.

Auditors of entities in specialized sectors such as insurance, banking and electricity, companies governed by special Acts, companies incorporated by statute and foreign body corporates or subsidiaries that cross the 20 percent consolidated net worth or income threshold have been addressed within the latest advisory.

The NFRA-2 Annual Return requires disclosure of the auditor’s identity and contact details, a list of audit clients and audit reports with fee data, professional memberships and affiliations, partner and employee particulars, any disciplinary or other proceedings, resignations or withdrawals of audit reports, and the firm’s quality control policies along with an affirmation to cooperate with NFRA requests.

Following is the step-by-step user registration instructions to use the e-form:

  1. New users must first sign up on the eformnfra2 portal.
  2. Generate and verify both email and mobile OTPs.
  3. Complete the sections for Account, Authorized Person, and Auditor details.
  4. If registering as an Indian firm, entering the firm registration number auto-populates firm name, city, phone, and email.
  5. Foreign firms and foreign individuals have separate registration fields.
  6. Create a password with at least eight characters, including upper case, lower case, a number, and a special character (e.g., Nfra$2019).
  7. On successful registration, the portal issues email and SMS confirmations.
  8. The user is then returned to the login screen

How to Access and Download NFRA-2 E-form

Prerequisites before filing include LLPIN or firm registration number, auditor PAN, regulator registration number, company identifiers (CIN/PAN/GLN), audit fee and currency details, ICAI network registration number, partner and employee counts and a valid DSC.

Technical steps for filing require installing the latest Java, updating Chrome, rebooting the system, running the DSC signer utility, inserting the DSC token, using the portal’s show-certificates function, selecting the relevant certificate, and finally submitting the form.
