The Institute of Company Secretaries of India (ICSI) is inviting suggestions and feedback from stakeholders on the Corporate Laws (Amendment) Bill, 2026.

The Institute has deployed the practice with a short deadline ending today.

The Corporate Laws (Amendment) Bill, 2026, introduced in the Lok Sabha essentially seeks to amend the Companies Act, 2013 and the Limited Liability Partnership Act, 2008, to aid ease of doing business and to address regulatory gaps that exist within the current framework.

The latest Bill aims to bring forth much reform to the system and includes provisions for decriminalising minor corporate offences, replacement of imprisonment in certain cases with monetary penalties, and for simplifying compliance requirements across corporate structures.

At the same time, the Bill aims to strengthen corporate governance with enhanced disclosures in directors’ reports, oversight of auditors and professionals, and expansion of the powers of regulators such as the National Financial Reporting Authority.

Given the central role that Company Secretaries play in corporate compliance, governance, and regulatory reporting under the Companies Act, the involvement of ICSI becomes both necessary from an institutional standpoint, providing practical insights into the deployability of the Bill and its effect on accounting professionals.

ICSI has requested stakeholders to provide their feedback and inputs on the proposed amendments in order to consolidate the same to provide to the Ministry for its consideration.
