The InternationalFinancial Services Centres Authority (IFSCA) has notified the Finance Company (Amendment) Regulations, 2026, introducing a framework for Special Purpose Vehicles (SPVs) and linking them to Trust and Company Service Providers (TCSPs).

The amendment introduces two new definitions:

1. Special Purpose Vehicle (SPV):

A finance company that is set up or managed by a Trust and Company Service Provider (TCSP). It can carry out specific activities approved by IFSCA, such as leasing or financing.

2. Trust and Company Service Provider (TCSP):

An entity authorised under the IFSCA (TechFin and Ancillary Services) Regulations, 2025, to provide trust and company-related services.

The amendment removes minor wording (“and”) from Regulation 5 to make space for new provisions.

It adds a new clause allowing SPVs to undertake leasing or financing activities, provided they have IFSCA’s permission.

The original Finance Company Regulations, 2021, were published on March 25, 2021, with a corrigendum dated April 12, 2021.
