The Ministry of Corporate Affairs (MCA) has notified the Companies (Registration Offices and Fees) Amendment Rules, 2026, introducing revisions to the fee structure for filing fees associated with DIR-3 KYC compliance.

The Companies (Registration Offices and Fees) Rules, 2014, essentially lays down the procedural and financial framework governing filings made with the Registrar of Companies.

The Rules prescribe the fees payable for different statutory filings, forms and also contain compliance requirements under the Companies Act, 2013.

Through the present amendment, the Government has substituted Item VII of the Schedule to the 2014 Rules, which deals with fees payable for filing DIR-3 KYC.

The revised provision specifically addresses the web-based filing of Form DIR-3 KYC under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014.

DIR-3 KYC compliance is a mandatory annual requirement for individuals that hold a Director Identification Number (DIN) to verify and update personal details in the MCA database.

The following table contains the newly amended Fees and the condition under which the fee is prescribed:

(i) The form is filed within the timeline provided in sub-rule (1) of rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014.

(ii) The form is filed after the timeline referred to in serial number (i), or filed for reactivation of DIN

(iii) Form DIR-3-KYC Web filed again at any time for any change as provided in subrule (2) of rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014.

The amendment has come into force from the 21st of April, 2026.
