The Institute of Company Secretaries of India (ICSI) has issued a recent advisory dated July 18, 2025 regarding the certification process for Form MGT-7 under the new MCA V3 portal that has been rolled out.

The advisory comes following the release of annual filing forms on the MCA 21 V3 portal by the Ministry of Corporate Affairs (MCA). The changes have been effectuated through amending the Companies (Management and Administration) Rules, 2025 which now integrate MGT-8 certification into the e-form MGT-7 as a static field.

The ICSI advisory highlights that the certification in Form MGT-8 is now embedded within the E-form MGT-7 on the V3 portal. Despite the integration, ICSI has advised that any qualifying remarks regarding compliance may still be added under the ‘Optional Attachment’ field in Form MGT-7, with particular reference to the embedded portion of Form MGT-8, as clarified in the Frequently Asked Questions (FAQ No. 37) issued by MCA for Lot 3 forms.

In order to uphold due diligence and maintain professional credibility, ICSI has advised its members to continue certifying compliance under Form MGT-8 on the letterhead of a peer-reviewed practice unit.

ICSI further recommends generating a Unique Document Identification Number (UDIN) in accordance with Institute guidelines and to attach this certificate as an optional attachment to Form MGT-7 until any further clarifications or rules on this subject are issued by MCA.

ICSI has already made a representation to the Ministry of Corporate Affairs on June 6, 2025, seeking modifications in the layout of Form MGT-8 in the context of the revised MGT-7 form.
